Terms & Production Conditions

These terms apply to video production services provided by Neat Production SIA. Individual project proposals, estimates, production agreements, schedules, and written approvals form part of the agreement between Neat Production and the client. Where a project-specific agreement conflicts with these general terms, the project-specific agreement takes precedence.

1. Production Scope & Deliverables

All production services, crew allocations, shooting days, locations, equipment, post-production, timelines, and final deliverables are defined in the approved project proposal or production agreement.

Changes to the agreed scope, deliverables, shooting requirements, locations, production complexity, or schedule may result in additional costs and timeline adjustments.

Production elements not specifically included in the approved scope are treated as additional services and will be quoted separately.

2. Creative Development & Pre-Production

Where included in the project scope, Neat Production may provide creative direction, concept development, scripting, interview preparation, shot lists, storyboards, scheduling, location scouting, casting, production planning, and other pre-production services.

Creative concepts and production plans are developed in collaboration with the client. Client feedback and approvals must be provided within the agreed production schedule to avoid delays.

Once a concept, script, shot list, or production plan has been approved, substantial changes may require additional production time or costs.

3. Production Crew & Third-Party Services

Depending on the project, production may involve directors, producers, cinematographers, camera operators, assistants, sound recordists, lighting technicians, stylists, makeup artists, hair and makeup teams, food stylists, models, actors, presenters, location specialists, motion designers, editors, colourists, sound designers, translators, AI specialists, and other freelance or specialist crew.

Third-party services, talent, equipment, studios, locations, accommodation, transportation, permits, catering, music, props, wardrobe, and other production expenses are included only where specifically stated in the project proposal.

4. Locations, Permits & Production Permissions

Neat Production can coordinate location scouting, location bookings, filming permits, access permissions, production licences, and other required approvals where included in the agreed scope.

The client is responsible for providing access and permissions to any client-owned premises, facilities, products, systems, or locations unless otherwise agreed.

Third-party location fees, permits, security requirements, overtime, access charges, and associated costs may be charged separately where they are not included in the approved estimate.

For productions involving hospitals, clinics, laboratories, corporate facilities, public spaces, events, or other controlled environments, filming will be subject to the applicable access, privacy, safety, and operational requirements of the location.

5. Talent, Models & Releases

Where required, Neat Production can source and coordinate actors, models, presenters, interview subjects, and other talent.

Talent fees and usage rights are project-specific and depend on the agreed territory, duration, media, and intended use.

Model releases, talent releases, appearance permissions, and other required documentation will be arranged where included in the production scope.

The client may not use talent footage outside the agreed usage rights without obtaining the necessary additional permissions.

6. Client Materials & Approvals

The client is responsible for providing accurate logos, brand guidelines, product information, scripts, claims, graphics, trademarks, footage, images, documents, and other materials supplied for use in the production.

The client confirms that it has the necessary rights and permissions to provide these materials to Neat Production.

The client is also responsible for reviewing and approving factual, technical, medical, financial, legal, regulatory, or product-specific claims appearing in the final content.

For healthcare, MedTech, pharmaceutical, financial, or other regulated industries, final approval of claims and compliance requirements remains the client's responsibility unless a separate compliance service has been agreed.

7. Filming in Healthcare & Sensitive Environments

Where production takes place in hospitals, clinics, laboratories, treatment centres, or other sensitive environments, additional filming protocols may apply.

Neat Production will work within the operational, privacy, safety, and access requirements of the relevant institution.

Patient, staff, visitor, or other personal information will not intentionally be captured or used without the appropriate authorisation.

Where identifiable individuals appear in the production, the relevant permissions, releases, or other lawful basis for use must be established as appropriate.

8. Travel & International Production

Neat Production provides production services internationally and can coordinate projects across Europe and worldwide.

Travel-related production costs may include flights, trains, ground transportation, accommodation, baggage, equipment transportation, visas, permits, insurance, local crew, production vehicles, and other travel expenses.

Unless specifically included as a fixed production cost, international travel and accommodation expenses are quoted separately and approved by the client before booking.

Changes or cancellations to travel arrangements after booking may result in non-refundable third-party costs being charged to the client.

9. Production Schedule, Overtime & Delays

The agreed shooting schedule is based on the approved production plan.

Delays caused by late client approvals, unavailable talent, location access issues, client-requested changes, technical requirements, travel disruption, or other circumstances outside Neat Production's reasonable control may affect the production schedule and incur additional costs.

Crew overtime, additional shooting hours, additional shooting days, or extended location bookings are charged separately unless otherwise agreed.

10. Weather & Uncontrollable Production Conditions

Outdoor productions are subject to weather and environmental conditions.

Where weather or other circumstances make filming unsafe, impractical, or materially different from the approved creative plan, Neat Production may recommend rescheduling or adapting the production.

Additional costs caused by rescheduling, including crew, location, travel, equipment, accommodation, talent, or other third-party charges, may be payable by the client.

11. Post-Production & Revisions

The project proposal defines the included post-production services and number of revision rounds.

Unless otherwise specified, each project includes up to two standard review rounds covering editing, colour grading, sound adjustment, subtitles, and agreed graphic refinements.

A revision round means consolidated client feedback provided in one organised response.

Additional revision rounds, substantial editorial changes, new creative direction, newly requested scenes, replacement footage, new deliverables, or changes made after final approval may be quoted separately.

12. Additional Deliverables & Versions

Additional aspect ratios, durations, language versions, subtitles, cutdowns, social media versions, still frames, thumbnails, motion graphics, animations, translations, voiceovers, or other derivative assets are included only where stated in the project scope.

Additional versions can be produced after delivery and quoted separately.

13. Music, Stock Assets & Third-Party Licensing

Where required, Neat Production may source licensed music, stock footage, stock imagery, fonts, sound effects, plugins, templates, graphics, or other third-party assets.

Usage rights depend on the applicable licence and may vary by platform, territory, duration, audience, or media.

Third-party licensing costs are included only where stated in the proposal.

The client may not assume that third-party assets can be reused outside the agreed licence.

14. AI-Generated & AI-Assisted Content

Where appropriate, Neat Production may use AI-assisted tools for visual development, image generation, video generation, compositing, voice processing, translation, localisation, motion design, restoration, or other creative production tasks.

AI may also be used to recreate or seamlessly supplement visual elements that were not possible to capture during the original production, where appropriate to the project.

AI-generated or AI-assisted material remains subject to creative review, technical quality control, licensing considerations, and applicable legal requirements.

AI-assisted voice translation, multilingual voiceovers, subtitles, and localisation may be used where agreed with the client. The client remains responsible for approving the accuracy of translated or localised messaging.

15. Motion Graphics, Animation & Visual Effects

Motion graphics, logo animation, title design, animated typography, visual effects, screen replacements, compositing, 3D elements, and other graphic or animation work are included only where specified in the project scope.

Complex animation or additional visual effects requested after approval may require additional budget and production time.

16. Client Review & Final Approval

The client is responsible for reviewing all final content before publication or distribution.

Once final delivery has been approved, subsequent changes are considered additional work unless they are required to correct an error made by Neat Production.

For projects involving regulated industries or sensitive claims, client approval constitutes confirmation that the content has passed the client's internal legal, regulatory, medical, brand, or compliance review where applicable.

17. Payment Terms

Unless otherwise agreed in writing, standard billing requires:

  • 50% deposit upon project confirmation
  • 50% upon final delivery of the master files

Production dates may be reserved only after the required deposit has been received.

Third-party production expenses may require payment or reimbursement before they are committed or booked.

Final files and agreed commercial usage rights may be withheld until all outstanding invoices have been paid.

18. Cancellation & Postponement

Once a production has been confirmed, costs may be committed to crew, talent, locations, travel, equipment, accommodation, permits, and other third parties.

If a project is cancelled or postponed, the client is responsible for non-refundable costs already incurred or committed, as well as any agreed production or pre-production work already completed.

Cancellation or postponement terms may be specified differently in the individual project agreement.

19. Intellectual Property & Usage Rights

Unless otherwise agreed, Neat Production retains ownership of its underlying production materials, working files, project files, source footage, project templates, production methods, and internal production assets.

Upon full payment of all project invoices, the client receives the commercial usage rights specifically granted in the approved project agreement.

Unless expressly included, delivery of final video files does not constitute transfer of ownership of raw footage, project files, source files, templates, or third-party assets.

Any extended usage, additional territories, campaigns, platforms, or licensing requirements must be agreed separately where applicable.

20. Raw Footage & Project Files

Raw footage, camera files, project files, audio sessions, colour grading projects, animation files, AI generation files, and other working materials are not automatically included in final delivery.

If the client requires raw footage or project files, this must be agreed before or during production and may involve additional storage, preparation, licensing, and transfer costs.

Neat Production is not required to retain project files or raw footage indefinitely. Clients requiring long-term archival should request an archival arrangement.

21. Confidentiality

Both parties agree to treat confidential business, technical, commercial, financial, creative, and production information received during the project as confidential, except where disclosure is required by law or authorised by the other party.

This includes unreleased products, campaign concepts, internal communications, customer information, product demonstrations, research, technical information, and other non-public materials.

22. Portfolio & Self-Promotion

Unless otherwise agreed in writing, Neat Production may use completed work, selected frames, behind-the-scenes material, and project descriptions in its portfolio, website, showreel, social media, awards submissions, presentations, and other promotional materials after the work has been publicly released by the client.

For confidential, unreleased, or embargoed projects, publication will be delayed until the agreed release date or until the client authorises use.

23. Privacy Policy, Cookies & Data Protection

Neat Production SIA is committed to protecting your privacy and personal data in compliance with applicable EU data protection legislation (GDPR).

Inquiry & Contact Data: Information submitted through our contact forms (such as name, corporate email, company, project parameters, budget range, and message content) is processed solely for project qualification, communication, proposal preparation, and client management.

Cookies & Local Storage: Our website uses essential performance cookies, local storage (such as saving cookie consent preferences), and anonymous site analytics to measure traffic, optimize video streaming performance, and improve overall user experience. You can accept or manage cookie preferences at any time using our cookie consent banner.

Data Security & Rights: We implement appropriate technical and organizational measures to protect personal information against unauthorized access or disclosure. You have the right to request access to, correction of, or deletion of your personal data by contacting us at info@neat-production.com.

24. Force Majeure

Neither party will be responsible for failure or delay caused by circumstances beyond its reasonable control, including severe weather, natural disasters, war, civil unrest, strikes, government restrictions, major transport disruption, serious illness, venue closure, technical infrastructure failure, or other comparable circumstances.

The parties will make reasonable efforts to reschedule or adapt the production where possible.

25. Production Quality & Technical Standards

Neat Production will deliver the agreed final materials according to the technical specifications defined in the project proposal.

Differences between source footage, display devices, streaming platforms, social media compression, colour profiles, and third-party platforms may affect the final appearance or playback of content outside Neat Production's control.

26. Limitation of Responsibility

Neat Production will perform the agreed services with reasonable professional care and production standards.

Neat Production is not responsible for delays, losses, restrictions, or additional costs caused by client-provided materials, inaccurate information, third-party suppliers, locations, talent, travel providers, platform restrictions, regulatory decisions, or circumstances outside its reasonable control.

Any liability limitations should be interpreted subject to applicable mandatory law.

27. Governing Law & Jurisdiction

These terms and the services provided by Neat Production are governed by the laws specified in the applicable project agreement.

Unless otherwise specified in a project agreement, the agreement is intended to be governed by the laws of the Republic of Latvia, with disputes subject to the competent courts of Latvia, subject to applicable mandatory law.

28. Acceptance

Approval of a project proposal, quotation, production agreement, purchase order, or written confirmation of the project constitutes acceptance of the applicable project terms and these general production conditions.
